Resolutions
Remuneration Report
1. Resolution 1 – Adoption of Remuneration Report
To consider and, if thought fit, to pass the following resolution as an Ordinary Resolution:
“That, for the purpose of section 250R(2) of the Corporations Act and for all other purposes, approval is
given for the adoption of the Remuneration Report as contained in the Annual Financial Report for the
financial year ended 30 June 2026.”
Note: The vote on this Resolution is advisory only and does not bind the Directors or the Company.
Voting Exclusion Statement: In accordance with the Corporations Act, the Company will disregard any

companies of those persons) (collectively referred to as Restricted Voter).
However, the Company need not disregard a vote if the vote is not cast on behalf of a Restricted Voter
and either:
(a) it is cast by a person as a proxy appointed in writing that specifies how the proxy is to vote on
Resolution 1; or
(b) it is cast by the Chair as proxy for a person entitled to vote on Resolution 1, where the

Resolutions
Remuneration Report
Resolution 1 – Adoption of Remuneration Report
In accordance with section 250R(2) of the Corporations Act, the Company is required to present to its
Shareholders the Remuneration Report as disclosed in the Annual Financial Report for adoption.
The vote on the Resolution is advisory only and does not bind the Directors or the Company. The Remuneration
Report is set out in the Annual Financial Report and is also available on the Company’s website at
https://investorhub.wisr.com.au/.
However, if at least 25% of the votes cast are against the adoption of the Remuneration Report at the Meeting
(subject of this Notice of Meeting), and then again at the 2027 Annual General Meeting (2027 AGM), the
Company will be required to put to the vote a resolution (Spill Resolution) at the 2027 AGM to approve the
calling of a further meeting (Spill Meeting). If more than 50% of votes cast on the Spill Resolution are in favour,
the Company must convene the Spill Meeting within 90 days of the 2027 AGM. All of the Directors who were in
office when the 2027 Directors’ Report was approved, other than the Managing Director, will cease to hold office
immediately before the end of the Spill Meeting but may stand for re-election at that meeting.
The Remuneration Report explains the Board’s policies in relation to the nature and level of remuneration paid
to KMP (including Directors) and sets out remuneration details, service agreements and the details of any share-
based compensation.
Voting
Note that a voting exclusion applies to Resolution 1 in the terms set out in the Notice of Meeting. In particular,
the Directors and other Restricted Voters must not vote on this Resolution and must not cast a vote as proxy,
unless the appointment gives a direction on how to vote, or the proxy is given to the Chair and you submit the
Proxy Form, authorising the Chair to exercise the proxy even though Resolution 1 is connected directly or
indirectly with the remuneration of a KMP and that in doing so you will be taken to have directed the Chair to
vote in accordance with the Chair’s stated intention to vote in favour of Resolution 1.
Shareholders are urged to read carefully the Proxy Form and to provide a direction to the proxy on how to vote
on this Resolution.
Directors’ Recommendation
The Board is not making a recommendation for this Resolution.
The Chair intends to vote all undirected proxies in favour of this Resolution.
Re-election of Director
Resolution 2 – Re-election of Mr Matthew Brown as Director
The Constitution allows the Directors to appoint at any time a person to be a Director either to fill a casual
vacancy or as an addition to the existing Directors, but only where the total number of Directors does not at any
time exceed the maximum number specified by the Constitution.
Pursuant to the Constitution and ASX Listing Rule 14.4, a Director must not hold office without re-election past
the third annual general meeting following the Director’s appointment or 3 years, whichever is longer. A Director
may retire and offer themselves for re-election prior to expiry of that period.
Mr Brown was appointed a Director of the Company on 13 September 2021 and was last re-elected as a Director
at the Annual General Meeting held on 27 November 2023. The Board (excluding Mr Brown) considers Mr Brown
to be an independent Director.
Mr Brown retires by rotation and, being eligible, seeks re-election as a Director of the Company at this AGM.
Biography of Mr Matthew Brown
Mr Brown is a highly experienced senior executive, board member, adviser and investor with over 20 years of
experience across investment banking and technology, both in Australia and the United States. He is the Founder
Wisr Limited | Annual General Meeting – Notice of Meeting and Explanatory Statement 9
and Managing Director of independent investment and corporate advisory firm Alluvion Capital.
Prior to Alluvion Capital, Mr Brown was Chief Financial Officer and Executive Director of a high-growth, global
enterprise SaaS business. Mr Brown was also previously a Managing Director at Macquarie Capital, where he spent
over a decade in Sydney and New York with a focus on M&A, capital markets and principal investing.
Mr Brown is also a non-executive director of EncompaaS Software Limited, Upwire Pty Ltd and Life Colabs Pty Ltd,
as well as being an active investor in early-stage, high-growth technology businesses.
Mr Brown has been Chair of the Board since 27 November 2023. He also chairs the Company’s Audit and Risk
Committee and is a member of the People, Culture and Remuneration Committee.
Directors’ Recommendation
The Directors (excluding Mr Brown) recommend that Shareholders vote for Resolution 2.
The Chair intends to vote all undirected proxies in favour of this Resolution.
Consolidation of Capital
Resolution 3 – Consolidation of Capital
Under section 254H of the Corporations Act, a company may consolidate its shares if the consolidation is
approved by shareholders at a general meeting.
ASX Listing Rule 7.20 provides that if an entity proposes to reorganise its capital, it must tell shareholders each
of the following:
• the effect of the proposal on the number of securities and the amount unpaid (if any) on the securities;
• the proposed treatment of any fractional entitlements arising from the Consolidation; and
• the proposed treatment of any convertible securities on issue.
The Company proposes to consolidate its share capital through the consolidation of every 100 Shares into one
(1) Share.
The Consolidation ratio was determined so that the share price of the Company following implementation of
the Consolidation would be approximately $3.10 per Share, based on the closing price of the Shares of $0.031
on 15 October 2026 (the last Trading Day prior to finalising the Notice of Meeting).
Listing Rule 7.21 provides that an entity which has convertible securities (except options) on issue may only
reorganise its capital if, in respect of the convertible securities, the number of securities or the conversion price,
or both, is reorganised so that the holder of the convertible securities will not receive a benefit that holders of
ordinary securities do not receive.
If the Consolidation is approved, it is expected that it will take effect on and from 25 November 2026.
Effect on capital structure
As the Consolidation applies equally to all Shareholders, individual shareholdings will be reduced in the same ratio
as the total number of Shares (subject only to the rounding of fractions). As such, the Consolidation will have no
effect on the percentage interest of each individual Shareholder.
The effect the Consolidation will have on the Company’s capital structure is set out in the table below.
Shares Performance Rights
Pre-Consolidation 1,762,982,501 188,760,807
Post-Consolidation 17,629,825 1,887,608
Other than minor changes as a result of rounding, the aggregate value of each Shareholder’s Shares (and the
Company’s market capitalisation) will not change as a result of the Consolidation alone (that is, assuming no other
market movements or impacts occur).
As noted above, the Company has chosen the ratio of 100:1 to achieve a price per Share of approximately $3.10.
Wisr Limited | Annual General Meeting – Notice of Meeting and Explanatory Statement 10
All Shares are fully paid and no amount is unpaid. The Company does not have any options or convertible notes on
issue.
If this Resolution is passed, the Consolidation will be implemented and binding upon all Shareholders, regardless
of how (or if) they vote on the Resolution.
Reasons for Consolidation
At the date of this Notice, the Company has a total of 1,762,982,501 Shares on issue. The Consolidation is expected
to result in a more appropriate and effective capital structure for the Company and a share price that may be more
appealing to a wider range of investors.
The Board also considers the Consolidation will have the following benefits:
• a capital structure that is more aligned with market expectations and similar-sized ASX-listed entities;
• improved perception from prospective investors and financing partners; and
• reduced share price volatility and speculative trading, as each minimum price movement will represent a
smaller percentage of the higher post-Consolidation share price.
Following implementation of the Consolidation, there will be 17,629,825 Shares on issue (rounded up to the
nearest whole number for each holder and assuming no further share issues occur between the date of this Notice
and the Effective Date for the Consolidation).
Treatment of fractions
Where the Consolidation of a holder’s Securities results in an entitlement to a fraction of a Security, the fraction
will be rounded up to the next whole number of Securities.
Indicative Timetable
If this Resolution is passed, the Consolidation will take effect in accordance with the following indicative timetable:

Wisr Limited | Annual General Meeting – Notice of Meeting and Explanatory Statement 11
Taxation
The Consolidation should not, of itself, give rise to a taxation liability for holders of Securities, however holders of
Securities are advised to seek their own tax advice on the effect of the Consolidation.
The Company and its advisers do not accept any responsibility for the individual taxation implications arising from
the Consolidation.
